Terms of Service
These Terms of Service (“Terms”) form a binding agreement between Jumi Solutions Pty Ltd of PO Box 5067, Wonga Park VIC 3115, Australia (“Jumi”, “we”, “us”) and you (“Customer”, “you”).
By installing or using any Jumi Shopify application, software, or related services (each an “App” and together the “Services”), you agree to these Terms.
1. Services
Jumi provides software tools for Shopify merchants. The Services operate using data from your Shopify store and third-party integrations.
You are solely responsible for:

the accuracy, legality and completeness of all data you provide (“Customer Data”); and
-
reviewing and verifying any outputs generated by the Services (“Outputs”) before use or reliance.
2. Licence
Subject to these Terms, Jumi grants you a non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.
You must not:
-
resell, sublicense, or distribute the Services;
-
reverse engineer, copy, modify, or create derivative works of the Services;
-
use the Services to develop a competing product; or
-
access or use the Services to avoid fees or bypass limitations.
All intellectual property rights in the Services remain with Jumi.
3. Customer Responsibilities
You are responsible for ensuring your use of the Services complies with all applicable laws, including:
-
consumer protection laws;
-
marketing and advertising laws;
-
privacy and data protection laws; and
-
taxation and invoicing laws.
You represent and warrant that:
-
you have authority to enter into this Agreement; and
-
you have all necessary rights and consents to provide Customer Data to us.
Jumi does not provide legal, tax, or accounting advice.
4. Service-Specific Terms
4.1 Upsell Popup App
You are solely responsible for the content, pricing, claims and compliance of any upsell offers displayed to customers.
5. Fees and Billing
Fees (if applicable) are billed through Shopify on behalf of Jumi.
All fees are non-refundable except where required by law. Billing disputes must be raised with Shopify. Failure to pay fees may result in suspension or termination of access.
6. Data and Third-Party Services
You grant Jumi a worldwide, non-exclusive licence to process Customer Data solely to provide, maintain and improve the Services.
You retain ownership of your Customer Data.
The Services may integrate with third-party platforms including Shopify and PayPal.
Jumi is not responsible for:
-
third-party outages or API changes;
-
actions taken by third parties; or
-
errors caused by third-party systems.
Uninstalling an App does not guarantee immediate deletion of backups or logs retained for legal, security or operational purposes.
7. Availability and Support
The Services are provided on an “as is” and “as available” basis.
We do not guarantee uninterrupted, secure, or error-free operation.
We do not guarantee that the Services will meet your specific requirements.
Support is provided on a reasonable efforts basis only. We do not guarantee response or resolution times.
We may modify, suspend, or discontinue any Service at any time.
8. Security and Fair Use
You must not:
-
interfere with or disrupt the Services;
-
probe or test system vulnerabilities; or
-
use the Services in a manner that harms performance or stability.
We may implement usage limits or suspend access to protect system integrity.
9. Acceptable Conduct
You must communicate with Jumi and its personnel in a lawful, professional and respectful manner.
We do not tolerate abusive, threatening, harassing, discriminatory or offensive conduct toward our staff, contractors, or representatives.
10. Suspension and Termination
You may terminate by uninstalling the App.
We may suspend or terminate access immediately if:
-
you breach these Terms;
-
we suspect fraud, abuse or security risk;
-
you engage in abusive, threatening, harassing, discriminatory or inappropriate conduct toward Jumi or its personnel; or
-
required by law, Shopify, or a third party provider.
11. Indemnity
You indemnify Jumi against all claims, damages, losses and expenses (including legal costs) arising from:
-
your breach of these Terms;
-
your misuse of the Services;
-
your Customer Data or Outputs; or
-
your breach of third-party terms (including Shopify or PayPal).
12. Disclaimer
To the maximum extent permitted by law, the Services are provided without warranties of any kind, including warranties of merchantability, fitness for purpose, or non-infringement.
Nothing in these Terms excludes rights that cannot be excluded under applicable law.
13. Limitation of Liability
To the maximum extent permitted by law:
-
Jumi is not liable for indirect, incidental, consequential or special damages, including loss of profit, revenue, goodwill, data or business interruption; and
-
Jumi’s total liability arising from the Services is limited to the fees paid by you for the relevant Service in the three (3) months preceding the claim.
14. Export and Sanctions
You must not use the Services in violation of export control or sanctions laws.
You represent that you are not located in a restricted jurisdiction and are not listed on any government sanctions list.
15. Feedback
If you provide feedback or suggestions, you grant Jumi a perpetual, royalty-free licence to use them without restriction or compensation.
16. Force Majeure
Jumi is not liable for delay or failure to perform due to events beyond its reasonable control, including third-party outages, natural disasters, government actions or internet failures.
17. Governing Law
These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.
18. General
If any provision is unenforceable, the remainder remains in effect.
Failure to enforce a right is not a waiver.
You may not assign this Agreement without our consent. We may assign it without restriction.
These Terms constitute the entire agreement between the parties.
